PRODUCT TOS

These Terms of Service ("Terms") govern your access to and use of HVMPS.com and HVMPS.store (together, the "Site"), and your purchase or use of any digital asset, preset, sound pack, template, or free resource made available by and/or distributed by HeroVibes Ltd. (the "Products"). HVMPS (HeroVibes Media Production Studio) - also referred to as Hero Media - are trading names of HeroVibes Ltd., a company registered in England and Wales under company number 15762376, with its registered office at 28 Chaucer Road, Crowthorne, United Kingdom, RG45 7QN ("HVMPS," "we," "us," or "our"). Full company and regulatory details are available in the Imprint section on this page.

By downloading, purchasing, or using any Product from the Site, you ("you" or the "Customer") agree to be bound by these Terms. If you do not agree, do not download, purchase, or use any Product.

1. Ownership of Products

All digital goods - including editing presets, LUTs, sound effects, music tracks, motion graphic templates, and the “Free Creator Resource Pack” - are the intellectual property of HeroVibes Ltd. and are protected by copyright and other applicable laws.

2. Commercial & Personal License (Paid Products)

Upon successful purchase, HVMPS (HeroVibes Ltd.) grants you a non-exclusive, non-transferable, worldwide, royalty-free license to use the Products in your personal or commercial video productions, livestreams, and client projects, subject to these Terms.

This license:

  • Is granted to you as the purchasing individual or business entity only, and may not be shared, sub-licensed, assigned, or transferred to any other person or business without our prior written consent;

  • Permits use in an unlimited number of your own or client projects, including monetized content, client delivery, and online marketing use;

  • Permits modification of the Products as part of a finished creative work (e.g., a graded video, a mixed track);

  • Does not grant ownership of the underlying Product - HeroVibes Ltd. retains all intellectual property rights;

  • Is granted for the life of the Product's availability and does not expire, unless terminated under Section 5.

3. Free Resources

The “Free Creator Resource Pack” and other free assets ("Free Resources") are made available at no cost to newsletter subscribers, with access being permitted via Google Drive or other file-hosting services. Free Resources are licensed to you on the same terms as Section 2, with the following additions:

You should not share Free Resources or their access links outside of your own use; we encourage you to instead direct others to subscribe to our newsletter to obtain their own access and full benefits of the newsletter and the service itself;

We reserve the right to change, discontinue, or restrict access to Free Resources at any time.

4. Strict Prohibition on Redistribution

Regardless of whether a Product was paid or free, you may not:

  • Resell, relicense, sub-license, or redistribute raw HVMPS files - such as presets, LUTs, sound packs, or templates as standalone assets - whether modified or unmodified;

  • Upload raw Product files to public or shared cloud drives, marketplaces, stock asset sites, or file-sharing platforms, without prior permission from HeroVibes Ltd. To see permission, please contact support@hvmps.com;

  • Present a Product, or a substantially similar derivative of it, as your own original asset for sale or distribution;

  • Share your purchase or download access with any person or entity who has not themselves purchased or obtained the Product directly from us.

You may distribute finished creative works that incorporate the Products (e.g., a finished video, edited photo, or mixed track) through any channel, including for commercial gain.

5. Termination of License

We may suspend or terminate your license immediately, without refund, if you breach Section 4. Upon termination, you must stop using the affected Product and delete all copies of the raw files in your possession. Finished creative works already published prior to termination are not affected.

6. Digital Download Refund Policy

Due to the non-returnable nature of instant digital downloads, sales on HVMPS.store are generally final and non-refundable once a download link has been delivered or the file has been accessed. However, you’re welcome to reach out to support@hvmps.com, providing a copy of your purchase agreement, and assistance will be provided to you.

7. EU/UK Consumers - Right of Withdrawal

If you are a consumer located in the United Kingdom or the European Union, you ordinarily have a statutory 14-day right to withdraw from a digital purchase. By completing checkout, you expressly acknowledge and consent that:

  • You want us to begin supplying the digital content immediately, before the 14-day withdrawal period ends;

  • You will lose your right of withdrawal once download or access begins.

This consent will be captured via a mandatory checkbox at checkout, separate from general acceptance of these Terms. Nothing in this Section limits any statutory right you may have in relation to faulty or misdescribed digital content.

8. Technical Issues & Missing Content

If you experience technical issues with a file (e.g., corrupted download, missing content), contact support@hvmps.com and we will resolve the issue or, where resolution is not possible, consider the matter for a refund at our discretion.

9. Service Engagements (Production, Editing, etc.)

All bespoke commercial client projects, wedding coverage, or physical studio setups are governed by individual project statements of work (SOW) and service agreements signed between HeroVibes Ltd. and the client. In the event of a conflict between an SOW and these Terms, the SOW controls for that engagement.

10. Affiliate Transparency & Disclosures

HVMPS participates in affiliate marketing programs. Some links on HVMPS.com, HVMPS.store, and our YouTube channels and social platforms earn us a commission on qualifying purchases at no extra cost to you. We only recommend products and software we have personally tested and trust. Where required by applicable advertising law (including FTC and UK ASA/CMA guidance), affiliate links will carry a clear and conspicuous disclosure at the point they appear (e.g., in a video description or on-screen), in addition to this general disclosure. Further detail on how affiliate links and third-party tracking work is available in our Privacy Policy and Cookie Policy on this page, and you can learn more online via sites like this.

11. Disclaimer of Warranties

Products and the Site are provided "as is" and "as available." To the fullest extent permitted by law, HeroVibes Ltd. disclaims all warranties, express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that Products will be uninterrupted, error-free, or compatible with every software or hardware configuration.

12. Limitation of Liability

To the fullest extent permitted by law, HeroVibes Ltd.'s total liability to you arising out of or relating to these Terms or your use of any Product shall not exceed the amount you paid for the relevant Product. We are not liable for any indirect, incidental, special, or consequential loss, including loss of profits, business, or data. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

13. Indemnification

You agree to indemnify and hold HeroVibes Ltd. harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of any Product, including unauthorized redistribution.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protections you may be entitled to in your country of residence.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

16. Entire Agreement

These Terms (together with any applicable SOW) constitute the entire agreement between you and HeroVibes Ltd. regarding the Products and supersede prior agreements on the subject. Our Privacy Policy, Cookie Policy, and Imprint (all on this page) are incorporated by reference for matters they specifically address.

17. Contact

General business enquiries can be directed to hello@hvmps.com.

PROJECT PROMETHEUS TOS

This section forms part of HeroVibes Ltd.'s ("HVMPS", "we", "us") Terms of Service and applies to anyone making a financial or physical contribution to the Project Prometheus initiative, whether as an individual or on behalf of a company ("you", "Contributor").

This is a plain-English summary of our terms, not legal or tax advice. We recommend seeking independent advice before contributing if you have any questions about how this applies to you or your business. This TOS document is relevant to all parties interested in contributing to Project Prometheus - HeroVibes Ltd.’s social impact initiative. If you’re a company looking for gift aid / tax relief for a “donation”, this document will provide additional clarify on why this may not be the best option for you.

1. Two Types of Contribution

Project Prometheus accepts contributions in two distinct forms, which are treated differently:

1.1 Individual Contributions - Made by a private individual, not on behalf of a registered business. Individual Contributions are “gifts”. They carry no commercial benefit, are not exchanged for any service, and confer no rights beyond those set out in Section 3.

1.2 Corporate Sponsorships - Made by a registered business or organisation, in exchange for a defined marketing benefit as described in Section 4. Corporate Sponsorships are a commercial transaction, not a donation, and are documented as such via a formal sponsorship invoice.

We determine which category a contribution falls into based on who it's made by and how it's submitted. If you're contributing on behalf of a company but want it treated as a personal gift, or vice versa, contact us before contributing at prometheus@hvmps.com.

2. Not a Registered Charity

HeroVibes Ltd. is a private limited company registered in the UK. It is not a registered charity. Accordingly:

  • Contributions do not qualify for UK Gift Aid.

  • Individuals cannot claim any tax relief on a contribution.

We make no representation about the deductibility of any contribution and accept no liability for a Contributor's own tax treatment of their contribution. Corporate Sponsors are solely responsible for confirming the correct tax treatment of their sponsorship with their own accountant or tax advisor.

3. What Individual Contributors Receive

In recognition of an Individual Contribution, we may, at our discretion:

  • Log the contribution (amount/items, and first name, alias, or username as you specify) in our public tracking spreadsheet;

  • Extend a public thank-you and, where relevant, credit your name or alias in the video or content the contribution supported;

  • Contact you directly if your contribution results feature in published content.

None of the above is guaranteed or owed as consideration for your contribution. An Individual Contribution is given freely, without expectation of return, and HVMPS retains full discretion over whether, how, and where any acknowledgment appears. You may request to remain anonymous by contacting us directly prior to making your donation via email, at prometheus@hvmps.com.

4. What Corporate Sponsors Receive

In exchange for a Corporate Sponsorship, HVMPS guarantees the following minimum benefit:

  • At least one (1) sponsor mention or shout-out, of no less than approximately 5–10 seconds, in a video or piece of content published to an HVMPS-controlled channel (e.g. YouTube, social media), naming your company and, where supplied, displaying your logo and/or a brief description of your business;

  • Attribution on HVMPS.com, in a sponsors/partners listing;

  • A formal sponsorship invoice, itemising the contribution and the benefit provided, for your own accounting and tax records.

Additionally, there are some other terms to be aware of when donating as a company to add clarification of your contribution/sponsorship.

4.1 No fixed schedule, format, or placement. Beyond the guarantee above, HVMPS does not enter into a bespoke agreement specifying the exact length, timing, positioning, frequency, or content format of any sponsor mention. The specific video, publication date, editorial style, and manner of inclusion are determined entirely at HVMPS's discretion. We aim to publish sponsor mentions within a reasonable timeframe of the contribution being received, but do not guarantee a specific publication date. You are more than welcome to contact us directly about your contribution, its allocation and your promised “sponsor segment” at any time via email, at prometheus@hvmps.com.

4.2 Larger sponsorships - where a Corporate Sponsorship is substantially larger than our standard tier - we will make reasonable efforts to scale the benefit accordingly (e.g. a dedicated mention, extended segment, or additional placement) - but this remains at HVMPS's discretion and is not contractually fixed unless separately agreed in writing.

4.3 Editorial control. HVMPS retains full and final editorial control over all content, including how, whether, and in what context a sponsor is described. Sponsorship does not entitle a Corporate Sponsor to review, approve, or dictate content prior to publication, nor to any form of endorsement of their products or services beyond the factual acknowledgment of their sponsorship.

5. Right to Decline or Withdraw a Sponsorship

General right to decline. HVMPS reserves the right, at its sole discretion and without obligation to provide a reason, to:

  • Decline any contribution or sponsorship offer, from any individual or company, before it is accepted;

  • Decline to associate Project Prometheus or HVMPS's channels with any brand, industry, or individual it considers inconsistent with its values, audience, or content standards;

  • Refund a Corporate Sponsorship and withdraw any associated benefit if, after acceptance, HVMPS reasonably determines the association is no longer appropriate.

5.1 Automatically excluded industries. Sponsorship contributions from companies operating primarily in the following sectors will be automatically declined and will not be accepted under any circumstances: gambling and betting, alcohol, pornography and adult content, tobacco and vaping. This exclusion applies regardless of the size of the offered contribution.

Where a sponsorship is declined or withdrawn under this section prior to any benefit being delivered, HVMPS will not retain the funds, and will proceed in accordance with Section 5.2 below.

5.2 Returning declined funds. Where a payment is declined or withdrawn under this section, HVMPS will:

  • Attempt to refund the payment via its original payment method wherever possible;

  • Where the original method doesn't support a direct refund (e.g. a bank transfer without account details on file), we will contact the sender using the details provided at the time of payment to arrange return of the funds;

  • Make reasonable attempts to do so over a period of up to 60 days;

  • Where funds genuinely cannot be returned despite reasonable attempts, redirect them to an unaffiliated registered charity rather than apply them to Project Prometheus or any other HVMPS activity.

  • The moment a fund is classified as “declined”, the promise of a sponsor segment is declined, as per Section 5 as a whole.

Declined funds are held separately and are not allocated to any project while a return is pending.

Where a sponsorship is declined or withdrawn under this section prior to any benefit being delivered, HVMPS will not retain the funds.

6. Use of Name, Logo & Materials

By making a Corporate Sponsorship contribution to HVMPS, HeroVibes Ltd. (under the mission of “Project Prometheus”), you grant HVMPS a non-exclusive, royalty-free licence to use your company name, logo, and any materials you provide, solely for the purpose of the acknowledgment described in Section 4, for the duration reasonably necessary (including the ongoing availability of previously published content). This licence does not extend to any other use, and does not imply any broader partnership, endorsement, or affiliation between the parties beyond the specific sponsorship.

7. Allocation of Funds

Contributions and Sponsorships are pooled and allocated to Project Prometheus initiatives at HVMPS's discretion, guided by the criteria described on the About page, under the sub-section “Project Prometheus”. All contributions and their allocation are logged in our public tracking spreadsheet. Contributors may request further detail on a specific allocation, contribution or have their questions answered directly via prometheus@hvmps.com.

While HVMPS aims to allocate contributions to the causes described, contributions become the property of HeroVibes Ltd. upon receipt (recorded as sponsorship/other income, as applicable) and are not held on trust for any specific individual or project. Contributors are not entitled to demand a refund based on how a contribution is subsequently allocated, save as required by law.

8. Regulated Industries

HVMPS may decline sponsorship from businesses in regulated industries (including, without limitation, gambling, alcohol, tobacco, and financial services) where additional legal or advertising compliance obligations would apply, or where HVMPS determines the association is not appropriate for its audience or content. Where such a sponsorship is accepted, it may be subject to additional terms to ensure compliance with applicable advertising standards.

9. Changes to These Terms

HVMPS may update these terms from time to time. This policy was last updated on July 23rd, 2026. Continued contribution after an update constitutes acceptance of the revised terms, however a new Sponsorship invoice will be provided on each separate contribution via Project Prometheus’s donation page and subsequent financial processors, per transaction.

A copy of these terms will be sent in addition to the Sponsorship invoice to additional clarification and agreement. You will also be asked to confirm you have read them before making a contribution.

Questions about these terms? Contact prometheus@hvmps.com.
